Welcome to Satinaire. These Terms of Service ("Terms") govern your access to and use of the Satinaire mobile application and related services (collectively, the "Service") operated by Eros Media LLC ("Eros Media," "Satinaire," "we," "us," or "our"), a limited liability company. "Satinaire" is the name of our mobile application and associated brand. Please read these Terms carefully. By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 17 years of age to create an account or use the Service. Certain content within the Service — specifically any content rated at "spice level 4" or higher and any content within our explicit genre categories — is restricted to users 18 years of age or older and will not be made available to accounts whose verified date of birth computes to an age under 18. By creating an account you represent and warrant that (a) you are at least 17 years old, (b) the date of birth you provide is accurate, (c) you have the legal capacity to enter into a binding agreement, and (d) you are not barred from using the Service under the laws of your jurisdiction.

2. Accounts and Security

To use most features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your login credentials
• Promptly notify us of any unauthorized access or suspected security breach
• Be responsible for all activity that occurs under your account

We may suspend or terminate accounts that contain false information, that are shared between multiple users, or that are used in violation of these Terms.

3. AI-Generated Content Disclaimer

All stories, illustrations, character voices, and narration available through Satinaire are generated, in whole or in part, by artificial intelligence systems. AI-generated content is fictional. Any resemblance to real persons (living or deceased), real events, real locations, or real organizations is coincidental and unintentional. Satinaire content does not reflect factual statements, advice, or endorsements, and should not be relied upon as such. AI systems can produce inaccurate, inconsistent, or unexpected output, and we make no warranty regarding the accuracy or quality of any AI-generated content.

4. Content Rules and Acceptable Use

When using the Service (including any prompts you submit, comments you post, or stories you create), you agree not to:

• Submit content that depicts minors in sexual or romantic contexts
• Submit content that promotes real-world violence, terrorism, self-harm, or illegal activity
• Submit content that targets, harasses, or defames real, identifiable individuals
• Submit content that infringes intellectual property, privacy, or publicity rights of others
• Attempt to bypass content safety filters or extract underlying model weights
• Reverse-engineer, decompile, or interfere with the operation of the Service
• Use automated systems (bots, scrapers) to access the Service without our written permission
• Use the Service to develop a competing product or train competing AI models

We reserve the right to remove content and suspend accounts that violate these rules.

5. Virtual Currency ("Coins")

Satinaire offers a virtual currency called "coins" that can be used to unlock chapters and other in-app content.

• Coins are a limited license to access digital content within the Service. They are not real money, are not redeemable for cash, and have no monetary value outside the Service.
• All coin and subscription purchases are final and non-refundable, except where required by applicable law or by the policies of the platform store (Apple App Store or Google Play) through which the purchase was made.
• Coin balances are tied to your account. If your account is terminated for cause, unused coins are forfeited except where applicable consumer-protection law requires otherwise, in which case we will refund the pro-rated value of unused coins through the platform store through which they were purchased.
• We may modify pricing, the cost of unlocking content, promotional offers, and the rules governing coin earning at any time, with or without notice.
• Coins cannot be transferred between accounts, sold, or exchanged for other goods or services.

6. Subscriptions

Premium subscriptions (where offered) automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period. Renewals are charged to your platform store account at the then-current price. You can manage and cancel subscriptions at any time through your Apple App Store or Google Play account settings. Cancelling a subscription stops future renewals but does not entitle you to a refund of the current period unless required by applicable law.

7. Intellectual Property

The Service, including its software, design, branding, curated story catalog, AI prompts, model configurations, and underlying technology, is owned by Eros Media LLC and protected by copyright, trademark, and other intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

DMCA / Copyright Infringement Notices

If you believe content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act to our designated copyright agent. A valid DMCA notice must include:

• Your physical or electronic signature
• Identification of the copyrighted work claimed to have been infringed
• Identification of the allegedly infringing material and information reasonably sufficient to permit us to locate it
• Your contact information (address, telephone, email)
• A statement that you have a good-faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights holder

We will respond to valid notices in accordance with the DMCA. We terminate the accounts of repeat infringers.

User-Created Content. If you create custom stories, prompts, comments, or other content using the Service ("User Content"), you retain whatever rights you have under applicable law in that content. By submitting User Content, you grant Satinaire a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, display, and distribute that content for the purpose of operating, providing, and improving the Service. You represent that you have all rights necessary to grant this license.

8. Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation or attribution.

9. Termination

You may delete your account at any time through Settings. We may suspend or terminate your account and access to the Service at our discretion if you violate these Terms, if your account is inactive for an extended period, if required by law, or if continuing to provide the Service to you would expose us to legal or financial risk. Upon termination, your right to use the Service ceases immediately, and Sections 5 (forfeiture of coins), 7, 10, 11, 12, 13, and 14 will survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI-GENERATED CONTENT WILL MEET YOUR EXPECTATIONS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SATINAIRE, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Satinaire and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of another party.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules.

Informal Resolution. Before filing any formal dispute, you agree to first contact us at legal@satinaire.com and attempt in good faith to resolve the matter informally for at least 30 days.

Binding Arbitration. Any dispute, claim, or controversy arising out of or related to these Terms or the Service that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Delaware (or remotely, at the consumer's option) and will be conducted in English.

Class Action Waiver. You and Satinaire agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app or by email and update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Satinaire regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them freely.
